Terms of service
The terms on which Payezz is subscribed to and used. They are written to be read, not to hide anything.

Working draft. This text was written by our product team, not a law firm. A lawyer must review it before it goes live, and the details highlighted in amber still need to be replaced with the company's real ones.
1. Who we are and what you accept
Payezz is a service provided by PENDING: company name, with tax ID (NIF) PENDING: NIF or CIF and registered office at PENDING: full registered office address (hereinafter, “Payezz” or “we”).
By creating an account, subscribing to a plan or using the service, you accept these terms, the privacy policy, the data processing agreement and the cancellation policy. If you enter into this contract on behalf of a company, you represent that you have sufficient authority to bind it.
Payezz is aimed at businesses and professionals. If you contract as a consumer, you retain all the rights granted to you by consumer protection law, which prevail over any clause in this document that limits them.
2. Definitions
- Service
- The billing, storefront and customer management software that Payezz makes available to you, together with its admin panel, its API and its documentation.
- Instance
- Your isolated copy of the service: its own container, its own database and its own domain. You do not share a database with any other customer.
- Control plane
- The Payezz infrastructure that provisions instances, processes payments through Stripe and calculates the fee.
- End customer
- Anyone who buys from your store. They are your customer, not ours: the contractual relationship with them is yours.
- Fee
- The amount Payezz receives per transaction on the plans that include it, as set out in section 5.
3. Sign-up, account and early access
To use the service you need an account with accurate and up-to-date information. You are responsible for your login credentials and for everything done with them, and you must notify us as soon as you suspect any unauthorised use.
Early access. Sign-up for the free plan is open: you can create an account at /signup without an invitation. Paid plans are still in early access and are subscribed to by writing to hola@payezz.app. During this phase there may be incomplete features, interface changes and more frequent maintenance windows. We tell you so here so that nobody subscribes believing they are buying a finished product.
We may refuse a sign-up or close an account where there is a breach of these terms, a well-founded suspicion of fraud or a legal obligation requiring us to do so.
4. What the service includes
In its current scope, the service comprises the provisioning and maintenance of your instance, application updates, backups, the TLS certificate for your custom domain, access to the admin panel and the API, and the routing of payments through your connected Stripe account.
The documentation clearly indicates which components are in production and which are designed but not yet built. No feature marked as pending forms part of what you have subscribed to until it is released.
Payments are processed by Stripe, through a connected account that you open in your own name, accepting Stripe’s terms. Payezz is not a payment institution: it does not hold your buyers’ funds or take part in the payouts Stripe makes to you. If Stripe suspends or restricts your account, the payment service is affected and reversing that is not within our power.
5. Plans, pricing and fees
Free plan. No monthly fee. Payezz charges a fee of 1.9% + €0.20 per transaction settled through the service. This fee is the only financial term that is final as of today, and it is applied to the gross amount of the transaction, in the same currency.
Three limits apply to that fee, configurable per plan and documented in the calculator on the home page: a maximum cap proportional to the amount, a minimum sale amount below which no fee is charged, and a margin reserved for Stripe’s fee, so that a sale can never leave you out of pocket.
Paid plans. Paid plans remove the transaction fee in exchange for a subscription fee. Their final price has not been set: the figures shown on the website are a proposal and are labelled as such there. The applicable price will be the one published and accepted at the time of subscribing.
Fee on sales collected outside Stripe. When you record in Payezz an invoice paid by bank transfer, in cash or by any other means outside the payment gateway, the fee still accrues and is added to your fee ledger. At the end of each month it is grouped into a statement and invoiced to you. If the amount accrued in the period is below the minimum settlement threshold, it is carried over to the following month instead of being invoiced.
All amounts are stated exclusive of taxes, unless otherwise indicated. Applicable taxes are added to the invoice in accordance with current legislation and your tax status.
6. Billing, payment and non-payment
Subscription fees are invoiced in advance, and statements of accrued fees at the end of the period. Payment is collected using the payment method you have saved. We issue an electronic invoice for every charge.
If a payment fails, we do not suspend the service that same day. The sequence is as follows:
| When | What happens |
|---|---|
| Day 0 | Failed payment, email notice. The instance keeps running. |
| Days 1, 3 and 7 | Payment retries. On the third, we notify you that seven days remain before suspension. |
| Day 14 | Final retry and suspension. Your store stops accepting orders, but your admin panel remains accessible so you can pay and export. |
| Day 44 | Archiving. The container is stopped, the data is retained and the export remains available. |
| Day 74 | Permanent destruction, with notice seven days and two days beforehand. |
Suspending the store is a payment collection measure. Withholding your data is not: throughout that period you can download your full export.
7. Acceptable use
By using Payezz, you agree not to:
- Sell unlawful goods or services, or use the service to launder money, commit fraud or evade international sanctions.
- Send unsolicited commercial communications from Payezz’s email infrastructure.
- Deliberately overload the infrastructure, circumvent your plan’s usage limits or attempt to access data in other instances.
- Resell the service to third parties as if it were your own without a specific written agreement.
- Deliberately conceal sales that should generate a fee when your plan includes one.
In the event of a serious breach, we may suspend the service immediately, notifying you and explaining the reason, and terminate the contract if the breach is not remedied.
8. Your data and your content
Your data is yours. Your store content, your catalogue, your customers and your invoices belong to you. Payezz uses them for nothing other than providing the service to you, does not disclose or commercially exploit them, and does not train models on them.
To the extent that this content includes personal data of third parties, you are the data controller and Payezz the data processor, under the terms of the data processing agreement, which forms part of this contract.
You may request a full export of your instance at any time: database dump, data in CSV, invoices in PDF, editor content and email templates. It is delivered via a signed, expiring link.
9. Availability, maintenance and support
We work to keep the service continuously available, but there is not yet a service level agreement with availability commitments and compensation. When one is published, it will be published as an annex to these terms and announced in advance. Committing to a percentage today would mean making up a figure.
Scheduled maintenance is announced with reasonable advance notice and, where possible, carried out during low-traffic periods. Urgent security maintenance may be applied without prior notice.
Support is provided by email at soporte@payezz.app, in Spanish and during business hours, with no guaranteed response time for as long as early access lasts.
10. Intellectual property
The Payezz software, its code, its design, its brand and its documentation belong to their owner. Subscribing to the service grants you a non-exclusive, non-transferable right of use limited to the term of the contract. It does not include the right to copy, decompile, create derivative works from or assign the software.
Everything you upload or publish on your instance remains yours. You grant us only the technical licence necessary to host, process and display it as part of the service.
11. Term, cancellation and suspension
The contract renews for successive periods equal to the chosen billing cycle, unless cancelled. You may cancel at any time, with effect from the end of the period already paid for and without penalty. Details, including refunds and the right of withdrawal where applicable, are set out in the cancellation policy.
Cancellation does not extinguish fees that have already accrued but not yet been settled, which are invoiced at the next closing.
12. Warranties and liability
We provide the service with the professional diligence required and take responsibility for any defects attributable to us. Beyond that, the service is provided as is: we do not warrant that it is fit for any particular purpose other than the one described, or that it will operate without interruptions or errors.
Except in cases of wilful misconduct (dolo) or gross negligence, and without prejudice to the non-waivable rights of consumers, our total liability to you for any claim arising from this contract is limited to the amount you have paid us in the twelve months preceding the event giving rise to the claim. We are not liable for loss of profits, loss of business or indirect damages.
Nor are we liable for failures caused by Stripe, by your domain or email providers, or by force majeure events.
13. Changes to the service and to these terms
We may modify the service to improve it or to adapt it to legal or technical requirements. If a change materially reduces the features you have subscribed to or changes the price, we will give you at least thirty days’ notice and you may cancel at no cost before it takes effect.
Amendments to these terms are published on this page with their revision date and are communicated by email when they are substantial.
14. Governing law and dispute resolution
This contract is governed by Spanish law. The parties submit to the courts and tribunals of the place of Payezz’s registered office, unless the law requires a different venue, in particular that of the consumer’s place of residence.
Before going to court, we ask you to write to us: most disagreements are resolved with an email.
